Unidiner Terms of Service

IMPORTANT NOTICE: These Terms of Service are a legally binding contract. Please read them carefully. By creating an account or using the Unidiner platform, you agree to be bound by these terms.
1. Introduction & Definitions
- These Terms of Service (“Terms”) govern your access to and use of the Unidiner restaurant management platform, including our Point of Sale (POS) software, websites, mobile applications, and related services (collectively, the “Service”). The Service is provided by Unidiner FZ-LLC (“Unidiner”, “we”, “us”, or “our”).
- “You” or “Client” refers to the restaurant, business, or legal entity that registers for the Service, along with its authorized users.
- “User Content” refers to all data you upload or enter into the Service, including but not limited to menu items, pricing, sales data, inventory data, employee information, and information about your customers (“Customer Data”).
2. Accounts & Subscriptions
- Account Registration: You must provide accurate and complete information when creating your account. You are solely responsible for all activity that occurs under your account and for keeping your password secure.
- Subscription Plans: The Service is offered under various subscription plans (“Plans”) as detailed on our Pricing page. Your subscription is based on the number of registered locations or branches.
- Subscription Term & Renewal: Your subscription will be for the term you select (monthly or annually) and will automatically renew for successive periods of the same duration unless you cancel prior to the renewal date.
3. Payments, Fees, and Taxes
- Fees: You agree to pay all applicable fees for your chosen Plan as specified at the time of purchase. All fees are non-refundable except as required by law.
- Billing: We will bill you in advance on a recurring basis. You must provide a valid payment method and authorize us to charge it for all subscription fees.
- Price Changes: We reserve the right to change our prices. If we do, we will provide you with at least 30 days’ notice before your next renewal period.
- Taxes: All fees are exclusive of any applicable taxes (like VAT). You are responsible for paying all taxes associated with your subscription.
4. Use of the Service
- License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business operations during your subscription term.
- Acceptable Use: You agree not to (a) misuse the Service or help anyone else to do so; (b) probe, scan, or test the vulnerability of any system or network; (c) violate any law in any way; (d) infringe on the intellectual property or privacy rights of others.
- User Content: You retain all ownership rights to your User Content. You grant us a worldwide, royalty-free license to use, host, store, and reproduce your User Content solely for the purpose of providing and improving the Service. You are solely responsible for the accuracy and legality of your User Content.
5. Intellectual Property & Confidentiality
- Our Intellectual Property: The Service, including all software, branding, and content provided by Unidiner, is the exclusive property of Unidiner and its licensors. You may not copy, modify, or reverse engineer any part of the Service.
- Confidentiality: Both parties agree to treat all non-public information received from the other party as confidential and not to disclose it to any third party without prior written consent.
6. Term and Termination
- Termination by You: You may cancel your subscription at any time. Your cancellation will take effect at the end of your current billing period.
- Termination by Us: We may suspend or terminate your access to the Service with notice to you if (a) you are in breach of these Terms, or (b) your use of the Service could cause real risk of harm or loss to us or other users.
- Effect of Termination: Upon termination, your license to use the Service will end. We will provide you with an opportunity to export your User Content for a period of 30 days, after which we may delete it.
7. Disclaimers and Limitation of Liability
- Disclaimer of Warranties: The Service is provided “AS IS” without any warranties, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
- Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL UNIDINER, ITS AFFILIATES, OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS, REGARDLESS OF LEGAL THEORY.
- Cap on Liability: Our total liability for any claim arising out of these Terms will not exceed the total amount you paid us in the twelve (12) months before the claim arose.
8. General Provisions
- Governing Law: These Terms shall be governed by the laws of [Your Jurisdiction, e.g., the Dubai International Financial Centre (DIFC), UAE].
- Dispute Resolution: Any disputes arising from these Terms will be resolved through final and binding arbitration in [Your City, e.g., Dubai], rather than in court.

Unidiner (“we”, “us”, “our”) is committed to protecting your privacy. This Privacy Policy explains what information we collect, how we use it, and your rights in relation to it. This policy applies to all users of the Unidiner Service.

- Information You Provide to Us: This includes information you provide when you sign up for the Service, such as your name, email address, phone number, restaurant name, and payment information. It also includes all User Content you upload, such as your menu, sales, and employee data.
- Information Your Customers Provide: When you use our Service, you may collect information about your customers (Customer Data), such as their names, phone numbers, and order history. You are the controller of this data, and we act as your processor.
- Information We Collect Automatically: When you use our Service, we automatically collect information about your device and usage, such as your IP address, browser type, operating system, and activity logs.

We use the information we collect for the following purposes:
- To Provide and Maintain the Service: To operate the POS, process transactions, manage your account, and provide customer support.
- To Improve the Service: To analyze usage trends, understand our users’ needs, and improve our platform’s features and usability.
- To Communicate With You: To send you important service-related notices, updates, and marketing communications. You can opt-out of marketing messages.
- For Security and Compliance: To prevent fraud, enforce our Terms of Service, and comply with legal obligations.
4. How We Share Your Information
We do not sell your personal information or your Customer Data.
We may share information with the following third parties:
- Service Providers: We use trusted third-party companies to help us operate our Service, such as cloud hosting providers (Hetzner, Cloudflare) and payment processors. These providers are contractually obligated to protect your data.
- Integrations: If you choose to connect a third-party integration (e.g., an accounting software) to your Unidiner account, we will share data with that service as directed by you.
- Legal Requirements: We may disclose your information if required by law, subpoena, or other legal process.
5. Data Security
We implement industry-standard technical and organizational measures to protect your information from unauthorized access, loss, or misuse. This includes data encryption, access controls, and regular security assessments. However, no system is 100% secure, and we cannot guarantee absolute security.

- Access and Update: You can access and update your account information through your Unidiner settings.
- Data Export: You have the right to export your User Content.
